These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between Uplinex ("Company," "we," "us," or "our") and you ("User," "Client," or "you") — whether as an individual or as a representative of an organisation — regarding your use of our website located at uplinex.xyz and all services, content, and features offered by Uplinex.
By accessing our website, submitting an enquiry, signing a service agreement, or engaging any Uplinex service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.
These Terms apply to all visitors, clients, prospective clients, and anyone who interacts with Uplinex in any capacity. Engaging our services constitutes your full and unconditional acceptance of these Terms.

Services We Provide
Uplinex provides the following categories of services to its clients. Specific deliverables, timelines, fees, and scope of work for each engagement are defined in separate Service Agreements or Statements of Work ("SOW") entered into between Uplinex and individual clients.

Digital Marketing Services
- Digital Marketing — Google Ads, Meta Ads, LinkedIn Ads campaigns and management
- Social Media Management — content creation, scheduling, community management
- Website Design & Development — WordPress websites, landing pages, e-commerce
- Search Engine Optimisation (SEO) — on-page, technical, off-page, and local SEO
- Online Branding — brand identity, content marketing, and online presence building
- Lead Generation — paid campaigns, funnel setup, CRM integration, and automation
All services are subject to a separate signed Service Agreement or proposal acceptance. These Terms of Service apply universally across all service categories listed above.
Service Modifications
Uplinex reserves the right to modify, suspend, or discontinue any service or feature at any time, with reasonable prior notice to affected clients. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

Client Obligations
As a client engaging Uplinex services, you agree to the following obligations to ensure a productive and successful working relationship:
Accurate Information
- Provide accurate, complete, and up-to-date information required for service delivery, including business details, employee data, and financial information where applicable.
- Promptly notify us of any changes to information previously provided that may affect our ability to deliver services.
- Not misrepresent your business, its nature, size, industry, or any other material fact.
Cooperation & Timely Response
- Respond to requests for information, approvals, and feedback within agreed-upon or reasonable timeframes.
- Designate a point of contact who has the authority to make decisions and provide approvals for the engagement.
- Participate in discovery calls, review sessions, and other agreed meetings punctually.
- Understand that delays in providing required information or approvals may impact project timelines, and Uplinex will not be held responsible for resulting delays.
Compliance
- Ensure that your use of Uplinex services complies with all applicable laws, regulations, and industry standards in India.
- Obtain all necessary licences, permissions, and third-party consents required for us to perform the services.
- For digital marketing services — ensure that ad accounts, website access, and other required assets shared with us are legitimately owned or authorised for use.

Payments & Fees
All fees, payment schedules, and terms are defined in the individual Service Agreement or proposal accepted by the client. The following general payment terms apply across all engagements:
Payment Terms
- Invoicing: Uplinex will issue invoices as specified in the Service Agreement — typically in advance for monthly retainers and milestone-based for project work.
- Payment Due Date: Unless otherwise agreed in writing, all invoices are due within 7 days of the invoice date.
- Accepted Payment Methods: Bank transfer (NEFT/RTGS/IMPS), UPI, and other methods as agreed. All payments must be made in Indian Rupees (INR) unless otherwise specified.
- Taxes: All fees are exclusive of applicable taxes including GST. The client is responsible for all applicable taxes unless we are required by law to collect them, in which case they will be added to the invoice.
Late Payments
- Invoices unpaid beyond the due date may attract a late payment charge of 1.5% per month on the outstanding amount.
- Uplinex reserves the right to suspend or pause services for accounts with overdue payments, without liability for any resulting delays or losses.
- In case of persistent non-payment, Uplinex may refer the matter to a collections agency or take appropriate legal action to recover dues.
Ad Spend Clarification

For Digital Marketing services, Uplinex's management fee is separate from advertising spend (Google Ads, Meta Ads budgets). Ad spend goes directly from the client's account or as separately agreed — it is not included in our management fee and is not refundable by Uplinex.
Refund Policy
- Monthly retainer fees paid in advance are non-refundable once the service period has commenced.
- For project-based work, refunds for completed milestones are not applicable.
- In the event Uplinex is unable to deliver agreed services due to reasons solely within our control, a pro-rated refund for undelivered work may be considered at our discretion.
- Disputes regarding invoices must be raised in writing within 7 days of the invoice date.

Intellectual Property
Uplinex's Intellectual Property
All content on the Uplinex website — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, code, and software — is the exclusive property of Uplinex or its content suppliers and is protected under Indian and international intellectual property laws.
- The Uplinex name, logo, and all related marks are trademarks of Uplinex. Unauthorised use of any Uplinex trademarks is strictly prohibited.
- You may not copy, reproduce, republish, upload, post, transmit, or distribute any content from our website without our explicit written permission.
- You may print or download website content for personal, non-commercial reference only.
Deliverables — Ownership Upon Full Payment
For services involving creation of deliverables (website design, content, brand assets, campaign creatives):
- Upon full and complete payment of all fees, ownership of final deliverables created specifically for the client transfers to the client.
- Uplinex retains the right to display completed work in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing.
- Ownership of proprietary tools, templates, methodologies, processes, and background intellectual property used by Uplinex to create deliverables remains with Uplinex at all times.
- If payment is not received in full, Uplinex retains all ownership rights to deliverables until full payment is made.
Client's Content Licence
By providing us with content, materials, logos, images, or other assets for use in delivering our services, you grant Uplinex a non-exclusive, royalty-free licence to use such materials solely for the purpose of providing the agreed services. You represent that you own or have the necessary rights to all such materials.

Confidentiality
Both parties acknowledge that during the course of the engagement, each may have access to confidential and proprietary information of the other party.
Uplinex's Confidentiality Commitment
- Uplinex will treat all client business information, data, strategies, employee records, financial details, and any other non-public information shared with us as strictly confidential.
- We will not disclose client confidential information to any third party without prior written consent, except as required by law or for the purpose of delivering the agreed services.
- Confidentiality obligations survive the termination of the service relationship.
- A formal Non-Disclosure Agreement (NDA) is available on request for clients with heightened confidentiality requirements.
Client's Confidentiality Obligations
- Clients agree to keep confidential any proprietary methodologies, pricing, internal processes, strategies, or business information of Uplinex that is disclosed during the engagement.
- Clients will not use Uplinex's confidential information for any purpose other than evaluating or engaging our services.

Disclaimers & Limitations of Liability
Service Disclaimer
While Uplinex commits to delivering high-quality services using industry best practices, we make no guarantees or warranties regarding specific outcomes, including but not limited to:
- Specific Google search rankings, ad performance, or traffic volumes from SEO or Digital Marketing services
- Number of leads generated or conversion rates from lead generation campaigns
- Specific candidate quality or time-to-hire from recruitment services
- Revenue or profit growth attributable to our services
Results depend on multiple external factors including market conditions, competition, client-side implementation, algorithm changes, and industry dynamics — which are beyond Uplinex's control.
Website Disclaimer
The Uplinex website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the website will be error-free, uninterrupted, or free of viruses or harmful components.
Limitation of Liability
To the maximum extent permitted by applicable Indian law, Uplinex's total liability to any client for any claims arising from or related to our services shall not exceed the total fees paid by that client to Uplinex in the 3 months immediately preceding the event giving rise to the claim.
In no event shall Uplinex be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible losses, even if we have been advised of the possibility of such damages.
Force Majeure
Uplinex shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, internet outages, power failures, or pandemic-related disruptions.

Termination
Termination by Client
- Clients may terminate a service engagement by providing written notice as specified in their individual Service Agreement (typically 30 days written notice).
- Fees for services rendered up to the termination date are due and payable in full.
- Pre-paid fees for services not yet rendered may be subject to refund as per the refund terms in Section 6.
Termination by Uplinex
Uplinex reserves the right to terminate or suspend any service engagement immediately and without prior notice if:
- The client fails to make payment within 14 days of the due date
- The client provides false, misleading, or fraudulent information
- The client requests us to perform activities that are illegal, unethical, or that violate these Terms
- The client engages in abusive, threatening, or hostile behaviour toward Uplinex team members
- The client materially breaches these Terms or any Service Agreement
Effect of Termination
- Upon termination, Uplinex will provide a final invoice for all outstanding amounts due.
- All access to Uplinex systems, tools, and accounts provided by the client must be revoked or transferred within 7 days of termination.
- Client-owned deliverables (paid in full) will be transferred to the client within a reasonable timeframe.
- Provisions of these Terms that by their nature should survive termination (including confidentiality, intellectual property, payment obligations, and limitation of liability) shall continue after termination.

Indemnification
You agree to defend, indemnify, and hold harmless Uplinex, its founder, employees, agents, and representatives from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Uplinex website or services
- Your violation of these Terms of Service
- Your violation of any applicable law, regulation, or third-party rights
- Any false or inaccurate information you provide to Uplinex
- Any content or materials you provide to Uplinex that infringe on any third party's intellectual property or other rights
- Any unauthorised use of your account or credentials with Uplinex
Uplinex reserves the right to assume exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Uplinex in asserting any available defences.

Governing Law & Dispute Resolution
Governing Law
These Terms of Service and all matters arising from or relating to them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The parties submit to the exclusive jurisdiction of the courts located in New Delhi, India.

Changes to These Terms
Uplinex reserves the right to modify these Terms of Service at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Post a prominent notice on our website for at least 30 days
- Notify existing active clients by email of material changes that may affect their engagements
Your continued use of our website or services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our website and services and notify us in writing.
We encourage you to review these Terms periodically. The current version will always be available at uplinex.xyz/terms-of-service/.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any applicable Service Agreements, constitute the entire agreement between you and Uplinex with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, and understandings.
Waiver
The failure of Uplinex to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be made in writing and signed by Uplinex to be effective.
